I believe your intention determines whether it's a lie or not. If you promise to be to a friend's house at a certain time and on your way there you get hit by a semi and put in the hospital, it's not your fault you broke the promise. There comes the tricky part, huh. How do you convince someone of your original intentions? You can't, really. Some people get so angry at you over the broken promise that they don't even care about the circumstances.
If they are at least some what opened minded you could ask them what it would take to convince them. Going off my party example, being able to show them a gift or card after the accident you saved. For more abstract (that might be the term) or non physical promises (ex. "I promise to always love you"), it may be a little bit harder to show evidence of, but I'd like to think still possible. When you say, "it's not your fault you broke the promise," I would opt to say instead, "it's not your fault the promise was broken."

They're not "in charge" of Spider-Man. Sony still holds the reins. Marvel struck a deal with Sony to use him in the MCU but only if Sony can still make his standalone movies. I doubt they'll have much creative control outwith The Avengers.
Kevin Feige will be producing the stand alone Spidey movies with Amy Pascal. The whole reason Sony struck the deal was for easy money and help bring Spidey movies up to par. They obviously need help so they'll most likely follow what he says.

My hopes are Marvel can at least make him as good if not better than Raimi spiderman. Hopefully the villain casting and designs aren't as bad as ASM2's as well. Miles will probably happen somewhere down the line anyway. I want to see Marvel's take on Peter's Spiderman first and then maybe after a trilogy and a few other MCU features introduce Miles.
