Why there won't be an Iron Man 4...

Because in the aftermath of the Ultron Incident, there will be the Marvel Civil War. Cap 3 is the start of it, and RDJ will also star in it, as the antagonist.

Well...yeah.

As I see it going down, Tony creating Ultron to replace shield will cause the government to stop allowing costumed vigilantes and demand their registration. Stark, feeling guilty for Ultron, will be the first to register. Cap, after seeing that entities like Hydra can infiltrate governments with ease, will want to remain independent.

The Phase III movies will likely be watching the civil war from several sides. The last one would be where we see Cap get shot, with Winter Soldier taking up the shield.

What this means is, Thanos is a Phase IV villain. They would have to end the Civil War before taking on the Infinity Gauntlet.
